1. Acceptance of Terms
By downloading, installing, or using Qurio (the “Service”), provided by FocusKPI (“we”, “our”, or “us”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
Qurio is a local-first desktop application that provides an AI-powered workspace for managing files, notes, and team projects. The Service integrates with third-party providers such as Google Drive, OneDrive, Dropbox, Slack, Gmail, and Anthropic Claude on your behalf, using credentials you explicitly authorize.
3. Eligibility
You must be at least 13 years old to use the Service. By using Qurio you represent that you meet this age requirement and have the legal capacity to enter into this agreement.
4. Your Account
- Sign-in: Some features require signing in with a Qurio account. You are responsible for maintaining the confidentiality of your credentials.
- Third-party accounts: When you connect Google, Microsoft, Dropbox, Slack, or other providers, you authorize Qurio to access those accounts within the scopes you approve. You can revoke this access at any time from the Integrations settings or from the third-party provider's dashboard.
- Teams: If you create or join a Team, you understand that other team members may see project metadata (project names, status, connected source references, member list, activity timestamps) that you contribute.
5. Acceptable Use
You agree not to use the Service to:
- Violate any law, regulation, or third-party right (including intellectual property)
- Upload, generate, or distribute malicious code, spam, or harmful content
- Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure
- Reverse-engineer, decompile, or extract source code, except where permitted by law
- Use the Service to process data you do not have a lawful right to process
6. Your Content
- Ownership: You retain all rights to the files, notes, and other content you create, upload, or connect through Qurio (“Your Content”). We claim no ownership of Your Content.
- Limited license to us: You grant FocusKPI a limited, non-exclusive license to access and process Your Content only to operate the Service for you (for example, to send file content to the Claude API when you explicitly request AI processing).
- Local-first: File contents are not stored on Qurio servers. See the Privacy Policy for details on what limited project metadata is stored server-side to enable team collaboration.
7. Third-Party Services and Costs
The Service relies on third-party providers (Google, Microsoft, Dropbox, Slack, Anthropic, and others). Use of those providers is subject to their own terms and may incur their own fees. You are solely responsible for any charges, usage limits, or compliance obligations arising from your use of those third-party services through Qurio.
8. Subscriptions and Billing
- Plans: Some features may require a paid plan. Pricing is shown at sign-up and may change with reasonable notice.
- Trials: Trial periods may be offered at our discretion and may be revoked for misuse.
- Cancellation: You may cancel a subscription at any time. Cancellation takes effect at the end of the current billing period; we do not provide pro-rated refunds except where required by law.
9. Intellectual Property
The Service, including the Qurio name, logo, source code, designs, and documentation, is owned by FocusKPI and protected by applicable intellectual property laws. We grant you a personal, non-exclusive, non-transferable license to use the Service in accordance with these Terms. No other rights are granted.
10. Disclaimers
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose, accuracy, reliability, security, or non-infringement. AI-generated output may contain errors; you are responsible for reviewing it before relying on it.
11. Limitation of Liability
To the maximum extent permitted by law, FocusKPI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with the Service. Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) USD 100 or (b) the amount you paid us for the Service during the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless FocusKPI from any claims, damages, or expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) Your Content, or (c) your violation of these Terms or any applicable law.
13. Termination
You may stop using the Service at any time by uninstalling the application and revoking connected integrations. We may suspend or terminate your access if you violate these Terms or if continued operation would expose us to legal risk. Upon termination, sections that by their nature should survive (ownership, disclaimers, liability limits, governing law) will survive.
14. Changes to the Service or Terms
We may modify the Service or these Terms at any time. Material changes will be announced by updating the “Last Updated” date and, where reasonable, by direct notice. Continued use of the Service after a change constitutes acceptance of the new Terms.
15. Governing Law
These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in Santa Clara County, California, unless a different forum is required by mandatory local law.
